Addenda: Terms Attached to a Contract

Approved addendum forms, mandatory disclosures and the rules governing what a licensee may complete or draft are set by each state's commission. Work from the forms your jurisdiction authorizes, and verify anything procedural in its current license law.

Few transactions close on the four corners of the original form. Something is discovered, financed, approved or renegotiated, and the paperwork has to keep up. An addendum is how that happens without rewriting the contract from scratch.

Executed properly, it carries the same force as the pages it is attached to. Executed carelessly, it is the document that later gets argued about, which is why this material shows up on the contracts portion of the exam.

Forms You Will Use Most

Repair Negotiation After Inspection

Records what the parties settled on once the inspection report came back: work the seller will complete, a credit at closing in place of the work, a price adjustment, or a combination. It replaces a conversation with terms that can be enforced.

Loan Terms and Approval Deadline

Pins down the type of financing the buyer will pursue, the deadline for obtaining it, and what happens if the loan is denied. This is the clause that decides whether a financing failure returns the deposit or forfeits it.

Seller Carried Financing

Used when the seller is extending credit instead of a lender. It sets out the note terms, the payment schedule, any balloon, the security instrument to be signed, and the consequences of default, so the parties are not improvising a loan at the closing table.

Lender Approval on a Short Payoff

Applies when sale proceeds will not cover what is owed. It makes performance contingent on the existing lender accepting less than the balance, and it usually gives either party an exit if that approval takes longer than the stated window.

Occupancy Before or After Closing

Governs the case where possession and closing fall on different days. It covers the occupancy period, any payment for it, insurance, condition on surrender, and who is responsible for damage during the overlap.

Association and Condominium Documents

Sets the delivery deadline for governing documents, budgets and resale certificates, and the buyer's review period afterward. Several states also attach a statutory cancellation right to this delivery, so the local rule controls the timing.

What Happens When Documents Disagree

Once signed by everyone, an addendum is incorporated into the agreement and is read together with it as a single contract. It is not a side letter and not a courtesy note; whatever it obligates is as enforceable as the original terms.

Conflicts are resolved by ordinary rules of construction. The more recent document generally prevails over the earlier one on the same subject, and specific language generally prevails over general language. Handwritten or typed terms the parties negotiated ordinarily prevail over preprinted form text, on the theory that the negotiated words reflect what these particular parties actually intended.

None of that helps if the attachment is ambiguous, so identify the contract it belongs to by date, by property, and by the names of the parties, and have every party who signed the contract sign and date the addendum. A repair agreement signed by one of two owners is a problem waiting for the closing attorney to find it.

Sequence matters too. Two addenda addressing the same deadline, signed a day apart, will be read so the later one governs, which is exactly why undated attachments cause disputes.

Points Worth Committing to Memory

Contract items on this topic reward a few precise distinctions more than they reward familiarity with any one form.

Signature by every party is what gives the addendum effect. One side's signature is an offer to modify, not a modification.

The addendum becomes part of the contract and is enforced on the same footing as the original pages.

On a conflict, the later and more specific term controls, and negotiated language outranks preprinted language.

Completing blanks on a commission approved or association approved form is within a licensee's authority. Composing original legal terms is the practice of law and belongs to an attorney.

Identify the underlying contract inside the addendum by date, property and parties, and date the signatures.

A counteroffer may be delivered on an addendum form in some markets, but its legal effect is still rejection of the prior offer plus a new offer.

An addendum cannot resurrect a deadline that has already passed unless the parties expressly revive it in the new writing.

Addendum Questions

Is an addendum the same as a rider?

Practically, yes. Rider, exhibit, attachment and schedule are all names for added pages that become part of the contract. The label does not change the analysis; signatures and clear reference to the underlying agreement do.

Can an addendum be attached before anyone has signed the contract?

Yes, and this is common. Added terms can accompany the offer itself, so they are accepted at the same moment as the rest of the contract. An amendment, by contrast, addresses a contract already in force.

What if the other side will not sign the addendum?

Then nothing has changed and the original terms remain in force, including their deadlines. Advise the client accordingly rather than proceeding as though the modification took effect, since performance under an unsigned modification can itself become a breach.

Does an addendum need to be notarized or recorded?

Ordinarily neither. Purchase contracts and their attachments are not usually recorded, and recording and notarization requirements attach to the instruments that transfer or encumber title. Local practice can differ, so check what your state requires.
